Terms of Service
These terms govern your access to and use of StepX AI.
Effective date: May 6, 2026
Welcome to StepX AI ("StepX", "we", "our", "us"). By creating an account, accessing, or using our website, applications, APIs, and related services (collectively, the "Service"), you ("you", "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms constitute a binding agreement between you and StepX. Please read them carefully together with our Privacy Policy.
1. Acceptance of Terms
By registering, ticking the agreement checkbox, or otherwise using the Service you confirm that you have read, understood, and accepted these Terms and the Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility and Account
You must be at least 16 years old, or the minimum age required in your jurisdiction, to create an account. You agree to provide accurate, current, and complete information and to keep it up to date.
You are responsible for maintaining the confidentiality of your credentials (passwords, API keys, OAuth tokens) and for all activities that occur under your account. Notify us immediately at contact@stepx.vn of any unauthorized use.
3. Description of the Service
StepX AI provides AI-powered tools, including but not limited to: building and operating AI agents, knowledge bases, automation workflows, multi-channel deployments, analytics, and related developer APIs. Specific features, models, and limits may evolve over time and may differ between subscription plans.
Outputs generated by AI models (chat replies, summaries, generated text, code, images, embeddings, etc.) are produced by statistical models. They may be inaccurate, incomplete, or outdated. You are responsible for reviewing AI outputs before relying on them, especially for legal, medical, financial, or other consequential decisions.
4. Acceptable Use
You agree not to misuse the Service. In particular, you must NOT use the Service, or allow any third party to use it, to:
- Engage in fraud, scams, phishing, identity theft, money laundering, market manipulation, or any deceptive practice.
- Generate, store, or distribute content that is sexually explicit involving minors, non-consensual sexual content, or other obscene, indecent, or pornographic material.
- Create or disseminate hate speech, harassment, threats, or content that incites violence or discrimination against individuals or groups.
- Develop, deploy, or operate malware, ransomware, spyware, or tools designed to compromise systems, accounts, or networks.
- Violate the laws of the Socialist Republic of Vietnam or any other jurisdiction in which you operate, including laws on cybersecurity, personal data protection, intellectual property, taxation, consumer protection, advertising, and gambling.
- Infringe intellectual property rights, trade secrets, privacy rights, publicity rights, or contractual obligations of any third party.
- Reverse engineer, decompile, scrape, or attempt to extract model weights, prompts, source code, or non-public technical information from the Service except where expressly permitted by law.
- Bypass rate limits, quotas, security measures, or use the Service to build a competing AI product or training dataset without our prior written consent.
- Send spam, unsolicited messages, or otherwise abuse messaging channels (web chat, email, Zalo, Facebook, Telegram, WhatsApp, etc.) integrated with the Service.
StepX does not endorse, monitor in real time, or take responsibility for User-generated content or AI outputs. Users are solely and fully liable for any unlawful or harmful use. StepX reserves the right, but is not obligated, to investigate and to suspend or terminate accounts that violate these Terms. Where required by Vietnamese law or by a lawful order, request, or warrant from a competent authority, StepX will cooperate and provide relevant data, logs, and account information to such authority for handling.
5. User Content and License
"User Content" means any data, text, prompts, files, knowledge, code, images, or other materials that you submit to the Service. You retain all ownership of your User Content.
You grant StepX a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and process User Content solely as necessary to operate, maintain, secure, support, and improve the Service for you.
You represent and warrant that you own or have all necessary rights to your User Content and that processing it through the Service does not violate any law or third-party right.
6. AI Models, Third-Party Services, and Outputs
The Service integrates third-party AI providers (such as OpenAI, Anthropic, Google, and others) and infrastructure providers (such as cloud, vector database, and storage providers). When you use those features, your inputs may be transmitted to those providers strictly to fulfil your request, subject to their respective terms.
StepX does not sell User Content or use it to train foundation models for third parties. Where allowed by your plan, you may opt in or out of optional features that involve additional processing.
7. Fees, Plans, and Billing
Some features are offered on free plans; others require a paid subscription or usage-based fees. Prices, quotas, and rate limits are described on the pricing page or in your order form and may change with reasonable notice.
Unless stated otherwise, fees are charged in advance, are non-refundable except as required by law, and are exclusive of applicable taxes (including VAT). You are responsible for keeping a valid payment method on file.
We may suspend or downgrade your account if invoices are overdue or if there is suspected fraudulent payment activity.
8. Intellectual Property
StepX and its licensors retain all rights, title, and interest in and to the Service, including software, designs, trademarks, logos, documentation, and underlying technology. No rights are granted to you except the limited license to use the Service in accordance with these Terms.
9. Suspension and Termination
StepX may suspend or terminate your access to the Service, in whole or in part, with or without notice, if (a) you violate these Terms or applicable law; (b) your use creates security, legal, or reputational risk; or (c) we are required to do so by a competent authority.
You may stop using the Service at any time and delete your account through the in-app settings or by contacting contact@stepx.vn. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including IP, disclaimers, indemnity, limitation of liability, and governing law) will survive.
10. Service Availability, Quality, and Incident Handling
We strive to keep the Service reliable and available. For paid plans, we target a monthly uptime of 99.5% for the core platform, measured on a calendar-month basis and excluding the exceptions below. This target is a good-faith operational objective, not a guarantee, and does not modify the "as is" disclaimer in Section 11 or the limitation of liability in Section 12.
The following are excluded from availability and uptime calculations:
- Scheduled or emergency maintenance, for which we will provide reasonable advance notice where practicable.
- Outages, degradation, or errors caused by third-party providers (such as AI model, cloud, network, payment, or messaging-channel providers) that are outside our reasonable control.
- Force majeure events, including natural disasters, power or internet failures, cyber-attacks, strikes, or actions of a competent authority.
- Issues caused by your device, network, credentials, configuration, data, or integrations, or by your use of the Service in breach of these Terms.
- Beta, preview, free, or trial features, which are provided without any availability commitment.
When we become aware of a significant incident or disruption affecting the Service, we will, in good faith, investigate, mitigate, and work to restore normal operation as promptly as reasonably practicable, and we will keep affected users informed of material developments through the app, email, or our status channels.
Your sole and exclusive remedy for a prolonged interruption is set out in our Refund Policy: a refund may be considered only when a technical failure attributable to our system makes the Service unusable, or causes it to stop operating, for more than fifteen (15) consecutive days and access cannot reasonably be restored. Except as expressly stated in the Refund Policy, we do not provide service credits, refunds, or other compensation for downtime.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUTS. StepX DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STEPX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED USD (USD 100), WHICHEVER IS GREATER.
13. Indemnification
You agree to defend, indemnify, and hold harmless StepX, its affiliates, and personnel from any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising from (a) your User Content; (b) your use of AI outputs; (c) your violation of these Terms or applicable law; or (d) your infringement of third-party rights.
14. Changes to the Terms
We may update these Terms to reflect changes in the Service, our legal obligations, or industry practice. Material changes will be notified via the app, email, or our website at least 7 days before they take effect, except where a shorter period is required for security or legal reasons. Continued use after the effective date constitutes acceptance.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-laws principles. The parties will first attempt to resolve any dispute amicably. If a dispute cannot be resolved within 30 days, it will be submitted to the competent People's Court in Vietnam where StepX is headquartered, unless mandatory law provides otherwise.
16. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
